<![CDATA[Dresser-Rand Signs Definitive Agreement to Acquire Synchrony, Inc.]]> HOUSTON, Dec. 7, 2011 /PRNewswire/ -- Dresser-Rand Group Inc. ("Dresser-Rand" or, collectively with its affiliates, the "Company") (NYSE: DRC), a global supplier of rotating equipment and aftermarket parts and services, has signed a definitive agreement to acquire Synchrony, Inc. The transaction is expected to close in January 2012.

Synchrony is a technology development company with a portfolio of world-class technologies and products including active magnetic bearings (AMB), high speed motors and generators, and power electronics for clean, efficient, and reliable rotating machinery. A private company founded in 1993, Synchrony is headquartered in Roanoke County, Virginia, where it develops, manufactures, and tests its products in an ISO 9001-certified facility which includes a best-in-class model shop for rapid prototype fabrication and assembly.

According to Christopher Rossi, Dresser-Rand's Vice President of Technology and Business Development, "Several years ago we identified the strategic importance of being able to offer oil-free solutions in high speed rotating equipment applications. The overall value proposition for eliminating auxiliary oil systems centers around three principles: a) reduced footprint and weight in platform and FPSO applications which generates overall CAPEX savings in the construction phase, b) oil-lubricated bearings in subsea applications are neither practical nor reliable, and c) lubrication oil in compressor and steam turbine applications in general needs to be reconditioned and ultimately discarded as it is mixed with process gas or steam, thus making it environmentally unfriendly.

"As we believe that this technology will need to develop on an ongoing basis along with the normal evolution of the other components of our compressor and turbine offerings, we made the decision that we either needed to invest in our own internal R&D effort or acquire excellent design capacity in the marketplace.

"After an extensive technology assessment process we concluded that we have found, what we believe to be, the best technology that exists today in the form of Synchrony.

"We believe that the seamless integration of this capability into our product development process will provide us with the ability to continuously improve our overall equipment designs, and is the fastest and least expensive way to build this capability internally.

"Synchrony has already realized this value in the defense, HVAC, wastewater, and renewable energy markets, and will continue to supply its products and technology to leading rotating equipment manufacturers in these respective markets."

Under the agreement, Dresser-Rand will acquire Synchrony, Inc. for approximately $50 million net of cash acquired. The agreement includes the potential for additional consideration of up to a maximum of $10 million tied to technical milestones and to business performance. It should be noted that the operating costs for this acquisition are already included in the Company's guidance for 2012 previously provided.

Dr. Victor Iannello, Synchrony's CEO and President, added, "We are truly excited about becoming part of Dresser-Rand as we believe its global presence and resources will accelerate our growth. I am confident that the combination of Dresser-Rand and Synchrony provides for new opportunities and unparalleled value for our business partners."

<![CDATA[Synchrony gives new ideas on energy]]>

September 20, 2009

When former Virginia Governor, George Allen, walked through the doors at Synchrony in Salem, he met men who would give him some fresh ideas in energy. He got a tour of the building where workers specialize in magnetic bearings. The products don’t use oil and they help cut down on electricity costs.

It’s something that interests Allen as the Chairman of the American Energy Freedom Center. “Using this magnetic approach, I think, is revolutionary. It will save at least 10% on electricity," said Allen.

Allen said using this technology could save tens of millions of dollars for companies who use a lot of electricity.

In the end, Allen wants the United States to depend on its own energy sources. “We have the coal here in our country; we have the oil and natural gas in our country. We have obviously Synchrony. It’s a prime example of how we have the creative talent in our country,” he said.

Allen explains how energy has a major impact on our success as a country.

<![CDATA[Synchrony magnetic bearings draw crowds at IGTI Turbo Expo press release]]> (Roanoke, VA, July 14, 2009) – Synchrony, an industry leader providing innovative solutions and engineering excellence in rotating machinery and power conversion systems, drew crowds in demonstration of its world-class product lines at the IGTI Turbo Expo in Orlando, Florida on June 8-11, 2009.

Magnetic bearing applications are increasing as traditional oil-lubricated, geared drive trains are replaced with direct-drive trains supported on clean, frictionless magnetic bearings. Synchrony is a recognized pioneer in this industry frontier. Its Fusion® and NovaGlide™ magnetic bearings and NovaGen™/NovaDrive™ high-speed drive trains are true design innovations in miniaturization, integration, and performance that set the standard for better, smaller and greener.

Synchrony demonstrated an AC induction motor retrofitted with 2 Fusion® radial bearings and 1 Fusion® thrust bearing. Fusion® magnetic bearings feature all control electronics integrated into the bearing housing, allowing for a much smaller machine footprint by eliminating the large external bearing control cabinets required in traditional magnetic bearing systems. Fusion® bearings also feature two interface ports through the bearing housing – one for 48 VDC power, and the other, an Ethernet communication port used for machine health monitoring and trending. The motor was a 250 hp standard NEMA configuration.

The demonstration showed the magnetic levitation of the motor shaft with shaft position for each bearing within the system shown on a large visual display. These revolutionary products drew a large number of visitors to the Synchrony booth, allowing visitors to “bang on the rotating motor shaft” and witness first-hand how well the bearings react to impact loading. Synchrony’s health monitoring software allowed visitors to visually witness in real-time the shaft’s near immediate return to its centered position.

“The positive reaction we received to our demonstration at the IGTI expo is reflective of the rising industry interest and demand in magnetic bearings,” said Troy Jamison, Senior Vice President for Business Development. “Our Fusion® magnetic bearings integrated into a 250 hp NEMA motor demonstrate that Synchrony has overcome the complexity and cost thresholds that have traditionally slowed the adoption of magnetic bearing technology. <![CDATA[builds strong sales team press release, magnetic bearings]]> (Roanoke, VA, June 25, 2009) – Synchrony, an industry leader providing innovative solutions and engineering excellence in rotating machinery and power conversion systems, has assembled a seasoned sales team over the last three months to meet rising demand for magnetic bearings and high-speed motors and generators. Applications of these products are increasing, particularly across industrial, aerospace and defense sectors as traditional oil-lubricated bearings and drive trains are replaced with clean, frictionless magnetic bearings products and direct-drive high-speed drive trains. Synchrony’s world-class product lines, including its Fusion® and NovaGlide™ magnetic bearings and NovaGen™/NovaDrive™ oil-less drive trains, are true design innovations in miniaturization, integration and standardization that set the standard for better, smaller and greener.

To maximize its strong value proposition, Synchrony has hired a team with a collective seventy years of professional engineering and sales leadership in turbomachinery, industrial pumps and large power applications to spearhead sales for the advanced products company. Synchrony’s magnetic products are already deployed in next generation power systems for aerospace and defense as well as drive systems in petrochemical, oil and gas, power generation, HVAC, and industrial gas sectors.

Among Synchrony’s new sales hires is Dennis Mueller, a 34-year veteran specializing in motor and automation sales. In his most recent position as Vice President of Sales at Power & Controls Automation, he grew sales 20% per year. Prior to that, he climbed the sales management ladder at both Siemens Energy & Automation and Reliance Electric. Mueller will focus on sales for Synchrony’s Fusion® magnetic bearings for NEMA size motors, industrial pumps, blowers and air compressors.

Omar Jimenez has 10 years of sales experience in turbomachinery for the oil & gas industry. His focus with GE Oil & Gas was in retrofit applications for end-users. He developed opportunities for non-OEM engineered solutions for turbomachinery for clients such as ConocoPhillips, Valero, ExxonMobil, Spectra Energy, and Placid Refining. At Synchrony, Omar’s sales focus will be on downstream applications that are currently using traditional oil bearings.

John Rama is a registered Professional Engineer and award winning sales manager with 28 years of experience applying and selling large low-voltage and medium-voltage motors and VFDs to the oil & gas and water/wastewater markets. As sales manager at Siemens/Robicon – Midwest he was responsible for growing sales, profitability and channel management for a $36MM/yr sales volume. Rama has presented articles to the Turbomachinery Symposium and is a member of the API and IEEE Standards Committees. Rama will focus on the integration of NovaGlide™ magnetic bearings into large rotating machinery.
